Legal Counsel – Credit Fund (APAC)

We’re currently partnering with with a financial institution that’s seeking a Legal Counsel to join their Credit Fund team in the APAC region. In this role, you’ll provide legal support for their credit fund business, manage legal documentation (such as PPMs, LPAs, and subscription agreements), and handle regulatory filings for funds. You’ll ensure compliance with relevant laws and regulations, while contributing to the strategic growth of the investment portfolio.

Key responsibilities

  • Investment Support: Advise on private credit investments, including the negotiation and drafting of term sheets, loan agreements, intercreditor agreements, and related documentation.
  • Regulatory Compliance: Provide guidance on compliance with APAC financial regulations, including those set by the Monetary Authority of Singapore (MAS) and other relevant authorities.
  • Transaction Management: Oversee the legal aspects of investment transactions, from origination through execution, ensuring alignment with the fund’s investment strategy and risk profile.
  • Portfolio Management: Assist in managing the legal aspects of the fund’s portfolio, including monitoring covenants, handling amendments, and addressing distressed assets.
  • Stakeholder Collaboration: Collaborate with internal teams, including investment professionals, compliance officers, and risk managers, to deliver integrated legal support.
  • External Counsel Liaison: Manage relationships with external legal advisors to ensure efficient and cost-effective legal services.

Role requirements

  • Law degree from a recognized institution.
  • Minimum 5 years PQE across credit funds, private credit, financing, banking, or finance law, with a focus on APAC markets.
  • Experience handling cross-border transactions and multi-jurisdictional legal issues.
